Company Formation & Corporate Services in Cyprus
Cyprus is an EU member state with company law rooted in English common law, an English-speaking professional sector and a long track record with holding and trading structures. Its tax rules changed on 1 January 2026, and its benefits depend on the company being genuinely managed from Cyprus. We build the structure around that, not around last year’s headline.
Best For / Think Twice If
Best for
EU holding companies, international trading and services businesses, and groups wanting a common-law EU jurisdiction with real management on the island.
Think twice if
You want Cyprus tax residence without board decisions or management actually happening in Cyprus — residence follows management and control, not the registered address.
Ownership & Tax Snapshot
Cyprus permits 100% foreign ownership of a private limited company, with no nationality requirement for shareholders or directors. A company is tax resident in Cyprus only if it is managed and controlled there, which in practice means a board that genuinely meets and decides on the island.
From 1 January 2026, the corporate income tax rate is 15% (previously 12.5%), under the tax reform enacted in December 2025. Dividend income received by a Cyprus company is generally exempt, subject to conditions. VAT is generally 19%. We check the reform’s detail for your structure rather than rely on pre-2026 assumptions.

Book a ConsultationWhat is the corporate tax rate in Cyprus?
For tax years starting on or after 1 January 2026, it is 15%, up from 12.5%, under the tax reform enacted in December 2025. Several other rules changed at the same time, so we review any structure set up before 2026.
How does a Cyprus company become tax resident?
By being managed and controlled in Cyprus. That means directors who genuinely meet and take decisions on the island, not just a registered address. We help you put that substance in place.
Is a Cyprus company audit mandatory?
Yes. Cyprus companies must prepare audited financial statements each year, filed with the annual return and used for the tax return.
Is Cyprus still a good holding company location?
It can be. Dividend income is generally exempt, subject to conditions, and Cyprus has a wide treaty network. Whether it suits your group depends on where the income comes from and where management sits, which we assess first.
Do I need a local director in Cyprus?
The law does not require one, but tax residence depends on management and control in Cyprus, so most companies that want to be Cyprus tax resident have Cyprus-based directors.
