Company Formation & Corporate Services in Malta

Malta is an EU member state with a regulated company framework — the right base for holding structures and regulated trading activity that need genuine EU standing, not a shortcut around it. We position Malta on substance and regulatory quality, not on a tax rate that, read in isolation, is actually higher than most people expect.

Is This The Right Fit

Best For / Think Twice If

Best for

EU holding companies, regulated trading activities needing EU market access, structures where genuine management-and-control substance in an EU jurisdiction matters.

Think twice if

You’re looking for the lowest possible headline tax rate with minimal substance — Malta’s tax efficiency depends on distribution mechanics and conditions that only make sense with real activity behind them.

The Detail That Matters

Ownership & Tax Snapshot

Malta permits 100% foreign ownership of a limited liability company. Malta’s headline corporate tax rate is 35% — this is not a low-tax jurisdiction on its face. Shareholders may claim a refund of part of the tax paid on distributed profits under Malta’s full imputation and refund system, which can reduce the effective tax burden after distribution, but this depends on the nature of the income, the refund category that applies, and compliance with the relevant conditions. We do not market Malta on an assumed “5% effective rate” — every structure needs its own analysis.

VAT applies at 18%. Management-and-control and substance requirements matter for both tax residency and for meeting EU/OECD substance expectations.

How It Runs

The Setup Process

  1. Structure assessment: holding company, trading company, or both, and refund-system eligibility.

  2. Company name reservation and constitutional documents (Memorandum & Articles of Association).

  3. Registration with the Malta Business Registry.

  4. Tax registration with the Office of the Commissioner for Revenue, and VAT registration where applicable.

  5. Registered office and, where relevant, genuine management-and-control substance (local directors, board meetings held in Malta).

  6. Bank account introduction.

Questions We Are Actually Asked

Book a Consultation
Is Malta’s effective corporate tax rate really 5%?

Not automatically. Malta’s headline rate is 35%. Shareholders may claim a refund on distributed profits under specific conditions, which can lower the effective rate after distribution — but this depends on your structure and income type, which we assess individually.

Do I need a physical presence in Malta?

For genuine tax residency and to meet substance expectations, yes — real management-and-control activity in Malta matters, not just a registered address.

What is the minimum share capital for a Maltese company?

A private limited company needs authorised and issued share capital of at least €1,165, with at least 20% paid up on incorporation. The funds are deposited before registration and evidenced to the Malta Business Registry.

How long does it take to register a company in Malta?

Registration with the Malta Business Registry is usually quick once the constitutional documents and KYC are complete. Opening the bank account, and any MFSA or MGA licence your activity needs, takes considerably longer — we plan the timeline around those, not the registration itself.

Do I need an MFSA or MGA licence?

Only for regulated activities. Financial services need authorisation from the Malta Financial Services Authority (MFSA), and online gaming needs a licence from the Malta Gaming Authority (MGA). A standard trading or holding company needs neither.
