Company Formation & Corporate Services in Saudi Arabia

Saudi Arabia is the biggest single market opportunity in the region under Vision 2030 — and, since the 2024 Investment Law reforms, one of the more straightforward to enter. Foreign investors no longer need a separate investment licence; the process now runs through registration. We help you move through it in the right order.

Is This The Right Fit

Best For / Think Twice If

Best for

Businesses targeting the Saudi domestic market at scale, manufacturing, giga-project supply chains, regional HQ relocations eligible for RHQ incentives.

Think twice if

Your activity sits on the excluded-activities list, or you need a fast, light-touch entity purely for invoicing — Saudi’s process rewards committed market entry, not a placeholder presence.

How You Enter The Market

The Investor Flow

  1. MISA registration

Register as an investor with the Ministry of Investment via the National Register of Investors — this registration step has replaced the former licensing requirement.

  2. Sector/activity check

Confirm your activity isn’t on the “Excluded Activities” list; apply for MISA approval if it requires one.

  3. Commercial Registration

Register the entity with the Ministry of Commerce.

  4. Regulatory approvals

Obtain any sector-specific approvals (e.g. SFDA, SAMA, CMA) relevant to your activity.

  5. ZATCA registration

Register for tax (corporate income tax/Zakat, VAT, withholding tax as applicable).

  6. Labour & GOSI

Register for labour licensing and social insurance before hiring.

  7. Banking & ongoing filings

Open a corporate bank account and enter the ongoing filing cycle.

The Detail That Matters

Ownership & Tax Snapshot

Under the Investment Law that took effect in 2025, most business activities in Saudi Arabia are open to full foreign ownership through a straightforward registration process with MISA — the previous separate foreign investment licence has been removed. A defined list of excluded activities remains restricted or subject to approval, so 100% foreign ownership should be confirmed for your specific activity rather than assumed universally.

Saudi-owned entities pay Zakat; foreign-owned entities (or the foreign-owned share of a mixed entity) pay corporate income tax, generally at 20% on the foreign ownership percentage, with sector-specific rates for oil and hydrocarbon activities. VAT applies at 15%. Regional Headquarters (RHQ) status carries specific eligibility and compliance conditions and a defined incentive package — we confirm current eligibility before including it in any proposal.

Book a Consultation
Do I still need a MISA licence to invest in Saudi Arabia?

No — the licensing requirement was replaced by a registration process with MISA under the Investment Law that took effect in 2025. A small number of restricted activities still require specific MISA approval.

Can I own 100% of my Saudi company?

For most activities not on the excluded-activities list, yes. We confirm this for your specific activity before you commit to a structure.

What is RHQ status and do I qualify?

Regional Headquarters status offers incentives for companies relocating their regional HQ to Saudi Arabia, subject to specific eligibility criteria and ongoing compliance conditions, which we assess as part of your structuring session.

Do I pay Zakat or corporate income tax in Saudi Arabia?

It depends on ownership. The Saudi/GCC-owned share of a company pays Zakat; the foreign-owned share pays corporate income tax, generally at 20%. A wholly foreign-owned company pays corporate income tax on all of its taxable income; a mixed-ownership company pays both, apportioned by ownership share.

How long does Saudi market entry take from MISA registration to trading?

It depends on your activity and whether sector-specific approvals apply — we scope a realistic timeline for your specific structure in the advisory session rather than quoting a single figure that won’t hold for every activity.
