Compliance Calendars
Singapore: The Foreign Founder’s Compliance Checklist
Singapore permits 100% foreign ownership of a private limited company; the local-director requirement is about governance, not ownership. Once you’re incorporated, here is the annual compliance calendar a foreign founder needs to track.
Checklist
Before You Move Forward
- ACRA annual return — filed every year.
- IRAS corporate tax return (Form C-S/C) — filed every year.
- AGM or written resolution — held every year.
- XBRL financial statement filing — where your company falls within scope.
- Register of Registrable Controllers updates — within the required timeframe whenever ownership changes.
- At least one Singapore-resident director maintained at all times — we can help arrange this with proper governance safeguards.
