Seychelles After 2021: What a Legitimate IBC Structure Looks Like Today

If you’re asking whether Seychelles is still a tax haven in the old sense — a blanket, no-questions-asked exemption on an International Business Company’s income — the honest answer is no, and it hasn’t been since 16 September 2021. Here’s what actually applies today, and what a structure that survives real scrutiny looks like.

What changed in 2021

According to the Seychelles Revenue Commission (SRC), Seychelles historically taxed only Seychelles-sourced income — a territorial system under which overseas business activity and passive income (dividends, interest, royalties, rent) received from non-residents fell outside the tax net entirely. That changed with effect from 16 September 2021: the SRC states Seychelles “adopted a revised approach for covered companies, including the adoption of an economic substance test for passive income received from a non-resident.”

What this means in practice

  • Profits from a genuine overseas permanent establishment are generally still not taxed in Seychelles — this part of the territorial system still works as expected.
  • Foreign-sourced passive income is exempt only where the company meets the applicable economic substance requirements. The SRC describes this as covered companies needing to “demonstrate genuine economic activity or substance” rather than relying on the previous blanket exemption.
  • Income that doesn’t meet these conditions can fall within Seychelles’ tax net. This is the part that surprises people who were told “IBC income is tax-free” without qualification.

Why “economic substance” is the operative phrase

Substance-based tax rules — Seychelles’ included — generally exist to distinguish a company that does real business from a company that exists only on a registry. Regulators and international tax bodies worldwide have pushed this kind of test specifically to close the gap that let a company with no staff, no office and no real decision-making claim the tax treatment of a genuine operating business. For a Seychelles IBC, that means the exemption on qualifying foreign-sourced passive income isn’t automatic — it’s conditional on the company actually demonstrating the substance the law asks for, assessed against your specific income and activity, not assumed from the entity type alone.

What a legitimate structure actually requires today

  • A registered agent and registered office at all times — mandatory, not optional, and the starting point of the incorporation process itself.
  • Name reservation and structure assessment upfront — holding, trading, or investment vehicle — because the economic-substance implications differ by use case, and that assessment should happen before incorporation, not after.
  • Beneficial ownership disclosure and KYC/AML documentation consistent with international standards, filed as part of incorporation through the registered agent.
  • An annual economic substance self-declaration, filed regardless of whether the substance test applies to your specific income — the declaration itself is a standing obligation, every year, for every IBC.
  • A business tax return for any Seychelles-sourced income, or foreign-sourced income that doesn’t meet the substance exemption conditions.

Why this is actually good news

A Seychelles IBC built around real substance and honest positioning is a structure that survives scrutiny from banks and tax authorities — the opposite of a structure sold on an exemption that no longer exists and quietly fails the first serious KYC review it meets. Banks conducting enhanced due diligence on international structures generally ask the same underlying question the 2021 reform asks: is there a real business here, or just a registered entity? A structure built to answer that question honestly from the start doesn’t need to worry about the answer changing later. We do not describe IBC income as simply “tax-free,” because it isn’t, unconditionally — but a properly substantiated structure remains a legitimate and useful tool for international holding and trading.

Is a Seychelles IBC right for you?

It’s a fit for genuine international holding or trading activity where the underlying business — management decisions, real operations, real counterparties — sits outside Seychelles and the structure isn’t being asked to do more than hold and route that activity honestly. It’s a poor fit for anyone still expecting the pre-2021 model: a purely paper presence with no real activity behind it, used purely to claim a blanket exemption. That structure doesn’t hold up to current scrutiny, regardless of how it’s marketed.

Frequently asked

Is all foreign income in a Seychelles IBC tax-free?
Not automatically. Since 16 September 2021, foreign-sourced passive income is exempt only if the company meets specific economic substance requirements, per the Seychelles Revenue Commission. We assess this against your actual activity before making any tax claim.

Is Seychelles still an “offshore” jurisdiction?
It’s a regulated international business jurisdiction with real disclosure, KYC, and substance obligations — not the no-questions-asked structure the term “offshore” used to imply. We help clients use it for legitimate structuring within those rules.

What ongoing filings does a Seychelles IBC actually have?
Registered agent and registered office renewal, an annual economic-substance declaration, and beneficial-ownership register confirmation every year, plus a business tax return for any income that’s taxable under the rules above.
