Seychelles After 2021: What a Legitimate IBC Structure Looks Like Today
Seychelles' territorial tax regime changed on 16 September 2021 to add an economic substance test — the honest picture of what an IBC structure needs to…
Seychelles works best today as a legitimately structured international holding or trading vehicle — registered, substance-aware, and built to survive scrutiny from banks and tax authorities alike. If you’re looking for a blanket, no-questions-asked tax exemption, that regime changed in 2021, and we’d rather tell you that upfront than sell you something that no longer exists.
Seychelles operates a territorial tax system: only Seychelles-sourced income is generally taxable. Since 16 September 2021, this territorial regime has applied a more precise, income-type-by-income-type approach for International Business Companies (IBCs) and other “covered companies,” including an economic substance test for certain foreign-sourced passive income (dividends, interest, royalties, rent).
In practice: profits from a genuine overseas permanent establishment are generally not taxed in Seychelles; foreign-sourced passive income is exempt only where the company meets the applicable economic substance requirements; income that doesn’t meet these conditions can fall within Seychelles’ tax net. We do not describe IBC income as simply “tax-free” — the outcome depends on the activity and whether substance conditions are met.
A Seychelles IBC requires a registered agent and registered office at all times, and is subject to beneficial-ownership disclosure and KYC/AML requirements consistent with international standards. This is a regulated structure with real ongoing obligations.
| Role | |
|---|---|
| Financial Services Authority (FSA) | Registrar of International Business Companies; licenses registered agents |
| Licensed registered agent | Files the incorporation and holds KYC and beneficial ownership records (mandatory) |
| Seychelles Revenue Commission | Business tax returns where income falls within the tax net |
| Seychelles International Trade Zone (SITZ) | Free trade zone administered by the FSA, for export-oriented trading, processing and manufacturing |

It’s a regulated international business jurisdiction with real disclosure, KYC, and substance obligations — not the no-questions-asked structure the term “offshore” used to imply. We help clients use it for legitimate structuring within those rules.
Yes. Every IBC must have a registered agent licensed by the Financial Services Authority and a registered office in Seychelles at all times. The agent files the incorporation and holds the company’s KYC and beneficial ownership records.
Shareholders and beneficial owners are not shown on a public register, but they are not anonymous either. They must be disclosed to the registered agent and recorded on Seychelles’ beneficial ownership register, which competent authorities can access.
Yes, but banks apply enhanced due diligence to international companies. A clear business purpose, complete KYC and, where relevant, evidence of substance make the application far stronger — we prepare that file with you before approaching a bank.
